IMPORTANT:

By participating in the promotion (the “Contest”), you agree to be bound by these rules (the “Official Rules”) and represent that you satisfy all eligibility requirements set forth herein.

NO PURCHASE OR DONATION NECESSARY. A PURCHASE OR DONATION WILL NOT INCREASE YOUR LIKELIHOOD OF WINNING. ODDS OF WINNING DEPEND ON THE NUMBER OF ELIGIBLE ENTRIES RECEIVED. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THESE RULES GOVERN ALL ASPECTS OF PARTICIPATION AND PRIZE AWARDS.

BY ENTERING OR PARTICIPATING IN THE CONTEST, ENTRANTS AGREE TO BE BOUND BY THESE OFFICIAL RULES, AND BY THE DECISIONS OF SPONSOR, WHICH ARE FINAL AND BINDING IN ALL RESPECTS.

1. Introduction:

The Contest is sponsored by Pipedrive Inc., with a registered office located at 530 5th Avenue, New York, N10036, USA (the "Sponsor"), and offered through Sponsor’s company website, located at https://www.pipedrive.com. Winners will be selected monthly by the Sponsor from all eligible entries received. All applicable federal, state, provincial, municipal, territorial and local laws and regulations apply.

2. Agreement to Official Rules:

By entering, you indicate your full and unconditional agreement to (a) these Official Rules, and (b) Sponsor’s decisions, which are final and binding. Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. Timing:

Contest will begin on April 20, 2023 and last for a period of 30 days. Thereafter, the contest will renew every 30 days with an entry submission allowed on the first day of the respective 30 day period from 9:00 a.m. Pacific Standard Time (“GMT”) and closes on the thirtieth day at 11:59 p.m. GMT (“Contest Period”). The contest will continue for 30 day periods until the last business day of December, 2023. The Sponsor reserves the right to end the Contest at any time in its sole discretion.

4. Eligibility:

The Contest is open to current Clients, or Users of Pipedrive who have an active paid Pipedrive Account and who are eighteen (18) years of age or older at the time of entry (“each, an “Entrant”). “Client” and “User” are as defined in the Pipedrive Terms of Service located here. Employees of Sponsor and their parents, step-parents, children, step-children, siblings, step-siblings, spouses, or persons living in the same household of employees are not eligible to participate. By participating in these Contest, each Entrant represents that it satisfies all eligibility requirements set forth herein, and further agrees to abide by these Official Rules and the decisions of Sponsor, which are final and binding in all respects.

5. Contest Entry

To enter, follow directions as outlined in the Pipedrive website contest landing page. All entries must be received monthly by date and time outlined in Section 3 above.

Entry must be the original work of the Entrant, may not have been previously published, may not have won previous awards, must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person and must not violate any law.

All entries become the property of Sponsor and, unless otherwise indicated herein, will not be acknowledged or returned. Entries which are late, lost, stolen, mutilated, invalid, damaged, unreadable, tampered with, illegible, unintelligible, incomplete, misdirected, generated by a script, macro or other automated/repetitive electronic means, mechanically reproduced, inaccurate, forged, irregular in any way or otherwise not in compliance with these Official Rules will be disqualified.

Sponsor reserves the right to disqualify any Entry for any reason, in its sole and absolute discretion.

6. Drawing:

Sponsor will select ten (10) winners (“Winners”) per calendar month throughout the Contest Period as stated in Section 3, above from all eligible entries received during the Contest Period meeting the criteria set forth in the contest landing page.

7. Notification and Requirements of Potential Winners:

Winner(s) will be determined after the Contest’s end date and Sponsor will notify the potential winner(s) by email with instructions on how to claim the Prize. If a potential winner does not respond to the notification email and comply with the requirements therein within three (3) days of the date and time that Sponsor sent and/or attempted to send the email notification, the potential winner will forfeit the Prize and Sponsor may award the Prize to an alternate Entrant. Only three (3) alternate Entrants will be contacted.

A selected potential winner may be disqualified (and may forfeit the Prize) if such selected potential winner (i) is unreachable or does not timely respond to any communication from Sponsor (or its designee) (or if a winner notification is returned as undeliverable), (ii) declines or cannot accept, receive or use the Prize for any reason, (iii) fails to sign and return any required documentation within the required time period, and/or (iv) does not comply with these Official Rules.

8. Prizes; Terms of Prizes:

Every month for the duration of the Contest Period, four (4) winners will each receive the their choice of ONE of either of the following; (1) $250 USD Amazon.com gift card, (2) £250 GBP Amazon.co.uk gift card, or (3) €250 EUR Amazon.de gift card (the "Prize"). The Prize will be sent to Winners within four (4) weeks on the expiry of the Contest Period.

Any Prize details not specified above will be determined by Sponsor in its sole discretion. The values of the Prize set forth above represents Sponsor’s good faith determination of the approximate retail value thereof—the actual fair market value of the Prize may vary based on delivery location and other factors, will be determined in Sponsor’s sole and absolute discretion, and will be final and binding and cannot be appealed. Other restrictions may apply and Sponsor, in its sole discretion, will provide these details during the redemption process. Prize may not be transferred and must be accepted as awarded. You may not request cash or a substitute prize; however, Sponsor reserves the right to substitute the Prize with another prize of equal or greater value if the Prize is not available for any reason. Payment or liability for any and all federal, state, or local taxes is the sole responsibility of the winner. All taxes are the sole responsibility of the Winner, so please consult your tax professional with questions regarding potential tax liability.

9. Licenses to User-Generated Content; Rights of Publicity:

By entering a Contest, you grant an irrevocable, perpetual, worldwide, non-exclusive license to Sponsor and its affiliates, to use, reproduce, modify, distribute, display, publish and create derivative works of any content that you provide, make available, or upload through the Pipedrive website in connection with a Contest (collectively, "User-Generated Content") in whole or in part in all media now known or hereafter devised, throughout the universe, in any way Sponsor or its affiliates see fit. You consent to Sponsor and its affiliates doing or omitting to do any act that would otherwise infringe your "moral rights" in any such User-Generated Content and you waive in favor of Sponsors and its affiliates any moral rights you may have in such content. Display or publication of any User-Generated Content on Sponsor's or its affiliates' website or social media properties does not indicate that you will be selected as a winner. Sponsor and its affiliates will not pay any additional consideration, notification, or permission in connection with any use of any User-Generated Content. You represent and warrant that (i) you own all rights, including all intellectual property rights, in and to all of your User-Generated Content; (ii) you are the original author of all of your User-Generated Content; and (iii) you have all rights necessary to grant the rights you are granting herein, and such grants will not violate any agreements between you and any third party or violate any third party's privacy rights.

You agree that, by entering a Contest, Sponsor and its affiliates may use, display, publish, or broadcast, the winner's name, image, or likeness in any manner and in any medium for its promotional and advertising purposes without additional compensation, notification, or permission, including posting in a winner's list, except where prohibited by law.

Upon Sponsor or its affiliate's request, you will sign any necessary documentation that may be required for Sponsor or its affiliate to make use of the rights granted herein.

10. General Conditions:

In the event that the operation, security, or administration of the Contest is impaired in any way, including, but not limited to fraud, virus, or other technical problem, Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) award the Prizes among the eligible entries received up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any individual who tampers with the operation of the Contest, violates these Official Rules, or acts in an unsportsmanlike or disruptive manner. Sponsor reserves the right to seek damages from any person who seeks to undermine the legitimate operation of the Contest. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor by mail shall not be deemed proof of receipt of that communication by Sponsor. In the event of a dispute as to the owner of an entry, the authorized account holder of the email account used to enter will be deemed to be the Entrant. The potential winner may be required to show proof of being the authorized account holder.

11. Release and Limitations of Liability:

By participating in the Contest, you agree to release and hold harmless Sponsor and its parent, subsidiaries, affiliates, officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to:

(a) unauthorized intervention in the Contest;

(b) technical errors related to computers, servers, providers, or telephone, or network lines;

(c) any errors or interruptions that may prevent an Entrant from entering or receiving direct or email messages;

(d) printing errors;

(e) lost, late, postage-due, misdirected, or undeliverable mail;

(f) errors in the administration of the Contest or the processing of entries; or

(g) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from an Entrant’s participation in the Contest or receipt or use of any prize.

You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

12. Sponsor's Decisions are Final:

You agree that Sponsor's decisions related to any Contest and any distribution of prizes are final.

13. Participants’ Personal Information:

Personal information collected from Entrants, which includes, but may not be limited to, name, address, telephone number, and email address, will be collected by Sponsor for the purposes of administering the Contest, fulfilling the Prize, and use of such personal information for marketing purposes. Sponsor collection and use of such personal information is subject to Sponsor’s Privacy Policy, which can be found at https://www.pipedrive.com/en/privacy.
