Pipedrive Terms of Service

Supplemental Terms for Add-On Features

The terms set forth below (“Supplemental Terms”) are part of the Pipedrive Terms of Service set forth at https://www.pipedrive.com/en/terms-of-service and govern the use of the Add-On Features below. Terms defined in the Terms of Service shall have the same meaning in these Supplemental Terms unless otherwise defined here. If there is a conflict between these Supplemental Terms and the Terms of Service, these Supplemental Terms shall govern.

To purchase a Subscription for an Add-On Features Client must first enroll in a Free Trial. If Client does not cancel a Subscription for an Add-On Feature prior to the end of the Free Trial for that Add-On Feature then Client will be billed for the Subscription as described below and as outlined in the billing section of their Account. The Subscription Term for all Subscriptions for Add-On Features will run concurrently with Client’s Platform Subscription. The Initial Subscription Term for any Add-On Features will be prorated to align to the then-current Subscription Term for the Platform Subscription.

Add-On Feature: Campaigns

  1. Overview: The Campaigns Add-On Feature allows Clients to create and send bulk marketing email campaigns with Pipedrive’s drag-and-drop email editor and also review engagement reports.

  2. Scope of Use: The Scope of Use for the Campaigns Add-On Feature is based on the number of contacts in an Account with the marketing status set as “subscribed” (“Subscribed Contacts”). Client is solely responsible for ensuring that each Subscribed Contact has Consented. Client “Consent” means express, verifiable approval from a recipient to receive marketing communication. Client’s ability to downgrade a Campaign Subscription is limited by the number of Subscribed Contacts and Client is responsible for ensuring that they reduce the number of Subscribed Contacts to be within the downgraded Scope of Use.

  3. Additional Terms and Requirements:

    Account Review Process: Purchase of a Subscription for Campaigns and upgrades require the completion of an account review process whereby Pipedrive reviews the Client's Account and its compliance with these Supplemental Terms and the Terms of Service (an “Account Review Process”). As part of this process, Client may be issued an account review form to complete. Client will provide all information requested by Pipedrive as part of the Account Review Process. Pipedrive may initiate an Account Review Process prior to purchase, at the time of upgrade, or at any other time. Upon upgrade, Client must initiate and complete a new Account Review Process before the entirety of the Scope of Use will be available for use. When an Account Review Process is initiated, access to Campaigns will be suspended during the review. It is the Client’s responsibility to ensure that all emails are properly sent after the Account Review Process is completed.


Anti-SPAM Policy: Client is solely responsible for ensuring that its usage of Campaigns will be made in strict compliance with all applicable laws and regulations. Client may not use Campaigns to send spam. Email is considered spam when the recipient has not Consented to receiving the message or Consented to the processing of personal data used to send the message, or when the message or the data processed to send the message otherwise violates applicable law. Client is prohibited from using Campaigns to email: (a) purchased, rented, scraped, or borrowed email lists, and (b) email lists that are likely to result in an excessive number of “unsubscribe” requests, or “spam” complaints or notices, as determined by acceptable industry practices. Any suspected spamming by a User may result in an Account being suspended.

Email Opt-Out Requirements: Client warrants that they have obtained the necessary Consents from their contacts to receive marketing communications prior to using Campaigns. Every email, whether text or HTML, must contain sender information that is not false or misleading and mandatory “unsubscribe/opt-out” links at the bottom of each message, which automatically updates the status of Client’s subscriber contacts to ensure recipients who have requested to unsubscribe have been recorded accurately. Clients are not allowed to send messages to any individual who has revoked Consent. It is also the Client’s sole responsibility to ensure that its use of the Campaigns Feature is in strict compliance with its email service provider’s terms of use.

No Misleading Information: Client must ensure that every email sent via Campaigns:

(a) includes its true and accurate postal address, in each email footer; (b) that it does not contain false, or misleading information in the subject line or otherwise contain false or misleading content; and (c) does not use Pipedrive trademarks or logos or the intellectual property of any third party without their permission.

Account Abuse; Monitoring: Pipedrive reserves the right to monitor Client’s use of Campaigns at any time, including for compliance with these terms. Client will provide all information requested by Pipedrive to evidence compliance with these Terms. In the event that the status of Subscribed Contacts in an Account is amended in bulk, or reaches the Subscriber Limit, Pipedrive may put an Account into the Account Review Process. Pipedrive reserves the right to review any message sent by Client and to approve or reject sending of such messages.

If Pipedrive, in its sole discretion, determines Client usage of the Campaigns Feature to be: (a) outside of the permitted and intended use as outlined herein, (b) beyond any bandwidth usage of the Feature, or (c) significantly excessive usage of the Campaigns Feature in relation to other Users, as solely determined by Pipedrive, Pipedrive reserves the right to suspend Client’s Account, (or part thereof).

Client may only use Campaigns in compliance with email marketing best practices. It is also the Client’s sole responsibility to ensure that its use of the Campaigns Feature is in strict compliance with its email service provider’s terms of use.

Add-On Feature: Web Visitors

  1. Overview: The Web Visitors Add-On Feature allows Clients to navigate through their website traffic and assists in finding the best potential customers to target during the early lead generation stages.
  2. Scope of Use: Subscription Fees for Web Visitors is based upon the number of unique organizations that visit the Client’s website in a given month as determined by IP addresses, excluding ISPs (Internet service providers), crawlers, and irrelevant web traffic (“Unique Identified Organizations”). To purchase a Web Visitors Subscription Client must complete a Web Visitors Free Trial. Upon completion of the Free Trial Pipedrive will send Client notice of the Fees for use of the Web Visitors based upon the Unique Identified Organizations. Pipedrive reserves the right to adjust the Fees for Web Visitors at Pipedrive’s discretion based on Pipedrive’s then-current pricing in the event the number of Unique Identified Organizations that visit the website has increased significantly above the numbers used to determine the Fees for the Subscription.
  3. Additional Terms and Requirements: Use of Web Visitors is subject to the Dealfront terms and conditions located at https://www.dealfront.com/terms-and-conditions/ and Client agrees to comply with those terms.

Add-On Feature: Smart Docs

  1. Overview: The Smart Docs Add-On Feature allows Clients to centralize the documentation process and streamline and automate how sales teams create, send, manage and sign quotes, proposals and contracts via the eSignature functionality.

  2. Free Trial: Valid billing details are required to be entered into the billing section of Client’s Account in order to activate the eSignature functionality during the Free Trial for Smart Docs and each Account may use up to 5 electronic document signature requests sent by a User via the Pipedrive Services whether fully executed or not (each a “eSignature Request”).

  3. Scope of Use: Fees for Smart Docs are based on the number of eSignature Requests and Client may not use more eSignature Requests each month than are included in Client’s Subscription. Any eSignature Requests that are not used in a particular month will expire at the end of the month.
    eSignature Requests shall expire if not completed within sixty days and a User may cancel an eSignature Request at any stage prior to signing. In the event that a User cancels an eSignature Request, or it expires, the eSignature Request will be counted against the monthly Subscription allowance.

  4. Additional Terms and Requirements:
    Document Storage: A User must have deal access in an Account to view its associated documents. Authorized Users have access to all deals and documents associated with their Account. Only PDF versions of documents are stored in the Pipedrive Services.
    Completed documents processed through Smart Docs are retained in the same manner as other Client Data in line with Pipedrive’s data retention policy and incomplete or cancelled documents are retained and deleted (a) 3 months after the eSignature Request is canceled by a User, or (b) 3 months after a deal, or document gets deleted by a User.
    Additional Disclaimers: Nothing in these Supplemental Terms may be construed to make Pipedrive a party to any electronic document processed through Smart Docs and Pipedrive makes no representation or warranty regarding the transactions sought to be affected by any electronic document.
    Client acknowledges that it has exclusive control over and responsibility for the content, quality, and format of any electronic document. Client is solely responsible for determining whether use of Smart Docs forms a binding agreement including any laws that apply based upon the content of the documents or agreements, the parties involved, or the jurisdiction. Certain types of agreements and documents may not be subject to electronic signature laws (e.g. wills and agreements pertaining to family law), or may be subject to specific regulations by various government agencies regarding electronic signatures and electronic records. Pipedrive is not responsible or liable to determine whether any particular document (i) is subject to an exception to applicable electronic signature laws, (ii) is subject to any particular agency specific regulations, or (iii) can be legally formed by, or enforced with electronic signatures. Further, Pipedrive is not responsible for determining how long any contracts, documents, and other records are required to be retained or stored under any applicable laws, regulations, or legal or administrative agency processes. Further, Pipedrive is not responsible for, or liable to produce any of Client’s electronic documents or other documents to any third parties.
    In certain jurisdictions, consumer protection or similar laws or regulations may impose special requirements with respect to electronic transactions involving one or more “consumers”, such as (among others) requirements that the consumer consent to the method of contracting and/or that the consumer be provided with a copy, or access to a copy, of a paper or other non-electronic, written record of the transaction. Pipedrive does not and is not responsible to: (i) determine whether any particular transaction involves a “consumer”; (ii) furnish or obtain any such consents or determine if any such consents have been withdrawn; (iii) provide any information or disclosures in connection with any attempt to obtain any such consents; (iv) provide legal review of, or update or correct any information or disclosures currently or previously given; (v) provide any such copies or access, except as expressly provided in the documentation for all transactions, consumer or otherwise; or (vi) comply with any such special requirements. Client undertakes to determine whether any “consumer” is involved in any electronic document presented by any of its Users with an authorization for processing, and, if so, to comply with all requirements imposed by law on such electronic documents or their formation.
    Client agrees it is solely responsible for the accuracy and appropriateness of instructions given by it and its Users to Pipedrive in relation to the Smart Docs Feature, including without limitation instructions through its Account.

Add-On Feature: Projects

  1. Overview: The Projects Add-On Feature allows Clients to streamline their sales and after-sales processes in one place, creating and managing projects and their project-related data and activities within the Pipedrive Services.
  2. Scope of Use: Fees for Projects are based on the number of Users that have access to the Add-On Feature. At the end of a Free Trial, Client will be billed for the number of Users that have access to Projects unless the Subscription is cancelled prior to the end of the Free Trial. Client can add or remove Users at any stage during the Subscription Term. In the event that a User is added, the User will be provided with immediate access to Projects and Client will be charged a prorated Fee corresponding with the number of remaining days in the then-current Subscription Term. In the event that a User is removed, the User will immediately lose access to Projects, however, no refund of any pre-paid Fees will be provided.

Add-On Feature: LeadBooster

1. Overview: LeadBooster is Pipedrive’s lead-generation Add-On Feature that allows Clients to capture inbound and outbound leads. LeadBooster provides access to the following functionalities:

Web Forms: Web Forms allows Clients to capture Contact Data from visitors to its website. Web Forms may only be accessed and used by admin Users of the Feature.

Chatbot: Chatbot allows Clients to engage with visitors to its website. Clients can customize how it looks, the questions it asks and how it replies. Chatbot may only be accessed and used by admin Users of the Feature.

Live Chat: Live Chat allows Users to take over their Chatbot conversations and chat directly with website visitors. Live Chat may only be enabled by admin Users within Chatbot, however once enabled by default, all Users of an Account with a LeadBooster Subscription can use it.

Prospector: Prospector is a credit-based feature located in LeadBooster. Prospector enables Users to search for business contact information in an external database of profiles (“Leads”). The contact data may consist of social media profiles, emails, and/or phone numbers associated with a Lead (“Contact Data”). Contact Data of a Lead is revealed only after spending Prospector service credits (each a “Credit”). By default, all Users of an Account with a LeadBooster Subscription can use Prospector to search for Leads, however only Users with an authorization are permitted to use Credits to reveal Lead Contact Data.

2. Scope of Use:

Fees for LeadBooster are based on the number of Credits allocated to the Client as part of their Subscription (“Monthly Credit Allowance”). Each Credit allows the Client to reveal one Lead’s Contact Data. Credits must be used within the same Monthly Credit Allowance Period in which they are allocated, as they expire at the end of that period.

In the event that additional Credits are required, they can be purchased by adding a recurring Credit Subscription at any stage to a LeadBooster Subscription. The Fee for additional Credits will be determined based on the Client’s Credit usage in a given month. These fees will be charged to the Client’s card on file, monthly in arrears.

The “Monthly Credit Allowance Period” refers to the monthly timeframe during which Credits are valid:

  • For monthly Subscriptions, this period aligns with the Subscription Term.

  • For annual Subscriptions, the Monthly Credit Allowance Period begins on the same day of each month as the Subscription start date and ends at the start of the next Monthly Credit Allowance Period.

Credits included in the Monthly Credit Allowance are allocated monthly, on the same day of the month as the Subscription commencement date.

3. Additional Terms and Requirements:

Inaccurate Contact Data: If Client believes that the Contact Data received consisted of disabled emails or disconnected phone numbers (“Inaccurate Contact Data”). Client may report a Lead as Inaccurate Contact Data via the inaccurate leads report (located in Prospector) and request to receive back the Credit used to reveal that Lead. An authorized User must make a request within ten days of revealing the Lead’s Contact Data. Users will also only be able to make this request if they have not yet converted the Lead into a tracked transaction within a pipeline in their Account. Pipedrive will review the Client’s request and either approve or reject the request within three business days. If rejected, Pipedrive will provide a rationale for the rejection. If approved, any Credits will be received back during the next Monthly Credit Allowance Period and must be used within the next Monthly Credit Allowance Period. Pipedrive shall have sole discretion in determining whether to accept or reject a request.

Cognism: Both Client and Cognism should be considered independent data controllers when processing the Leads’ data, with Pipedrive facilitating the transfer of data between the parties. Clients remain fully responsible for using the Prospector feature and complying with applicable data protection regulations, including when receiving the Leads’ data and when contacting the Leads. Add-On Feature: Pipedrive Nova

This section sets forth the terms governing the Add-On Feature known as Pipedrive Nova. The provisions below supplement the Terms of Service. All capitalized terms not defined in this section have the meanings assigned in the Terms of Service or elsewhere in these Supplemental Terms. In the event of a conflict between this section and any other provision of these Supplemental Terms, the more specific provision of this section shall control with respect to Nova.

1. OVERVIEW

Pipedrive Nova ("Nova") is Pipedrive's AI-powered sales execution Add-On Feature. Nova provides Users with automatic CRM data extraction, meeting recording and transcription, AI-generated meeting summaries and action items, pre-meeting briefings, deal health analysis, and integrations with third-party email, calendar, and meeting services.

Nova may be accessed via:

  1. the Pipedrive platform through a web browser (the "Nova Web App"); and

  2. a downloadable desktop companion application for Windows and macOS (the "Nova Companion Desktop App").

Client must have an active Platform Subscription to subscribe to and use Nova.

2. SCOPE OF USE

Fees for Nova are based on the number of Users that have access to the Add-On Feature. At the end of a Free Trial, Client will be billed for the number of Users that have access to Nova unless the Subscription is cancelled prior to the end of the Free Trial.

Client may add or remove Users at any stage during the Subscription Term. In the event that a User is added, the User will be provided with immediate access to Nova and Client will be charged a prorated Fee corresponding with the number of remaining days in the then-current Subscription Term. In the event that a User is removed, the User will immediately lose access to Nova; however, no refund of any pre-paid Fees will be provided.

3. ADDITIONAL TERMS AND REQUIREMENTS

The following additional terms and requirements apply to Client's use of Nova. Each subsection below forms part of these Supplemental Terms and is binding on Client and its Users. Capitalized terms not defined in this section have the meanings assigned in the Terms of Service or elsewhere in these Supplemental Terms. Where a subsection references a specific section of the Terms of Service, that reference incorporates the referenced provision in its entirety as applied to Nova.

3.1 AI FUNCTIONALITY

Nova uses AI Functionality, including third-party AI Service Providers for automatic CRM data extraction, to generate transcripts, meeting summaries, action recommendations, deal health assessments and pre-meeting briefings (collectively, "Nova Output"). All provisions of Section 3.11 of the Terms of Service (AI Functionality) apply to Nova Output.

Client is solely responsible for reviewing all Nova Output for accuracy and completeness before reliance. Nova Output, including transcripts, summaries, and action items, may be inaccurate, incomplete, or entirely absent. Pipedrive does not guarantee the accuracy, completeness, or reliability of any Nova Output.

3.2 CONNECTORS AND THIRD-PARTY INTEGRATIONS

Nova may integrate with third-party services, including email providers , calendar services, and meeting platforms ("Connected Services"). Client is solely responsible for: (a) ensuring that it has the right to connect its Connected Services accounts to Nova; (b) compliance with the terms of service of each Connected Service; and (c) ensuring that the connection of such accounts and the resulting data processing comply with all applicable laws.

Data received from Connected Services may constitute Input and be processed by AI Functionality to deliver features within the Pipedrive Services.

Pipedrive is not responsible for any acts, omissions, outages, or changes by any Connected Service provider, or for any loss of access to, or functionality dependent on, a Connected Service.

3.3 DATA PROCESSING

Nova continuously analyzes Client Data, including CRM records, email communications, calendar events, meeting recordings, and interaction history, to generate Nova Output. All Recording Data, transcripts, summaries, and other Nova Output are Client Data for purposes of the Terms of Service. Where Nova syncs data to Client's CRM or other Connected Services, Client is responsible for reviewing and approving any such updates prior to confirmation.

3.4 RECORDING AND TRANSCRIPTION FEATURES

Nova enables Users to record and transcribe meetings and other communications ("Recording Data"). Recording Data includes, transcripts, meeting summaries, and associated metadata captured or generated by Nova.

Recording may be initiated manually by the User or, where available and enabled by the User, automatically. The Nova Companion Desktop App includes a "record everything" setting that, when enabled, records meetings without additional action by the User. Client is responsible for ensuring that Users understand and appropriately configure all recording settings prior to use.

"Meeting Participant" means any individual who participates in a communication that is recorded or transcribed using Nova, whether or not such individual is a User or is otherwise affiliated with Client.

3.5 RECORDING CONSENT OBLIGATION, INDEMNIFICATION, AND DISCLAIMER

Client is solely responsible for compliance with all applicable laws, regulations, and contractual obligations relating to the recording of communications within every jurisdiction in which any Meeting Participant is located, including laws requiring one-party or all-party consent to recording. Client shall ensure that: (a) each User obtains informed, prior consent from all Meeting Participants before recording any communication using Nova, and where required by applicable laws, obtains such consent in writing or by verifiable electronic means; (b) if any Meeting Participant does not consent to being recorded, the User immediately ceases recording or discontinues use of Nova's recording features for that communication; and (c) Client maintains appropriate internal policies and training to support compliance with these obligations. If Client or any User is unable or unwilling to provide notice and obtain consent as required by applicable laws, Client shall not use and shall instruct its Users not to use the recording or transcription features of Nova. Use of Nova's recording features without obtaining the required consents constitutes a material breach of these Supplemental Terms.

Client shall indemnify and hold harmless the Pipedrive Parties from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from Client's or its Users' failure to obtain required recording consents or to comply with applicable recording laws.

PIPEDRIVE DOES NOT PROVIDE LEGAL ADVICE REGARDING RECORDING CONSENT REQUIREMENTS. CLIENT IS SOLELY RESPONSIBLE FOR UNDERSTANDING AND COMPLYING WITH ALL APPLICABLE LAWS IN EACH JURISDICTION IN WHICH NOVA IS USED TO RECORD COMMUNICATIONS. PIPEDRIVE DOES NOT MONITOR, VERIFY, OR ENFORCE WHETHER CLIENT OR ITS USERS HAVE OBTAINED THE REQUIRED CONSENTS FROM MEETING PARTICIPANTS. THE AVAILABILITY OF RECORDING FEATURES WITHIN NOVA DOES NOT CONSTITUTE AUTHORIZATION, PERMISSION, OR A REPRESENTATION BY PIPEDRIVE THAT RECORDING IS LAWFUL IN ANY PARTICULAR CIRCUMSTANCE.

3.6 THIRD-PARTY RECORDING TECHNOLOGY

Nova may use third-party service providers to provide meeting recording and transcription functionality in both the Nova Web App and the Nova Companion Desktop App. The current list of AI Service Providers is available at https://www.pipedrive.com/en/subprocessors.

3.7 NOVA COMPANION DESKTOP APP

The following terms apply solely to Client's use of the Nova Companion Desktop App:

  1. System Requirements. The Nova Companion Desktop App is available for macOS 13.0 or later (Apple Silicon only; Intel-based Macs are not supported) and Windows 10 or later (64-bit only). Client is responsible for ensuring its Devices meet applicable system requirements. "Device" means the personal computer or laptop on which the Nova Companion Desktop App is installed.

  2. License. Subject to the Terms of Service and these Supplemental Terms, Pipedrive grants Client a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the Nova Companion Desktop App on Devices operated by Client's authorized Users, solely in connection with Client's active Nova Subscription and during the Subscription Term. Only one User may access the Nova Companion Desktop App on a Device at any given time.

  3. Authentication. The Nova Companion Desktop App requires a connection to the Pipedrive platform and an authenticated User session. Authentication is handled via the User's system browser and the Pipedrive web application. No Client Data is transmitted to or from the Nova Companion Desktop App prior to successful authentication.

  4. Background Processes and Automatic Updates. The Nova Companion Desktop App may run as a background process and may be configured to launch at system startup. Users may quit the application at any time. The Nova Companion Desktop App will automatically download and install updates. Client consents to such automatic updates as a condition of use.

  5. Device Permissions. The Nova Companion Desktop App requires the following device-level permissions: (i) microphone access; (ii) accessibility permissions; (iii) screen and audio recording (on macOS, the Nova Companion Desktop App uses only the audio component of this unified system permission); and (iv) recording preferences as configured by the User.

  6. Local Data Storage. The Nova Companion Desktop App stores only session tokens (which expire automatically) and the Client's company domain identifier locally on the Device. No Recording Data is stored locally; all Recording Data is transmitted to and processed within the Pipedrive platform.

  7. Uninstallation. Upon uninstallation, all locally stored data will be removed from the Device. Upon termination or expiration of Client's Nova Subscription, the Nova Companion Desktop App will cease to function and Client shall promptly uninstall it from all Devices.

  8. Intellectual Property Restrictions. Client shall not (and shall not permit any User or third party to): (i) reverse engineer, decompile, or disassemble the Nova Companion Desktop App; (ii) modify or create derivative works thereof; (iii) distribute, sublicense, or make the Nova Companion Desktop App available to any third party; or (iv) remove or alter any proprietary notices on the Nova Companion Desktop App.

3.9 ADDITIONAL DISCLAIMERS

Without limiting Section 10 of the Terms of Service, Pipedrive does not warrant that Nova will:

  1. be compatible with all device configurations, operating system versions, audio hardware, or audio driver software; Client acknowledges that system audio capture is dependent on the Device's operating system and audio subsystem, and that operating system updates, security patches, audio driver changes, or third-party software may disable, degrade, or interfere with Nova's ability to capture audio, without notice to Client or Pipedrive;

  2. accurately, completely, or reliably capture, record, or transcribe any communication; due to the nature of system-level audio capture and artificial intelligence processing by third-party service providers, recordings and transcriptions may be incomplete, inaccurate, or entirely absent, and Client accepts full responsibility for verifying the accuracy and completeness of any Nova Output before reliance;

  3. capture all audio from all participants in a communication, or produce output that accurately reflects the substance, tone, or meaning of any communication; or

  4. not adversely affect Device performance, including CPU utilization, memory consumption, battery life, or the performance of other applications.

3.10 LIMITATION OF LIABILITY

The limitation of liability and exclusion of damages provisions set forth in Section 12 of the Terms of Service apply to all claims arising out of or related to Nova.

Without limiting the foregoing, the Pipedrive Parties shall have no liability for:

  1. data loss or corruption on any Device;

  2. Device performance issues arising from use of the Nova Companion Desktop App;

  3. failed, incomplete, or inaccurate recordings or transcriptions;

  4. Client's or any User's failure to comply with applicable recording and other applicable laws, including failure to provide notice or obtain consent;

  5. any actions or omissions of third-party service providers used in connection with Nova; or

  6. any claims by Meeting Participants or third parties arising from the recording or transcription of communications using Nova.
