The terms set forth herein (“AI Beta Terms”) are subject to the Pipedrive Terms of Service and Privacy Notice and apply to and govern your participation in any Pipedrive Beta Services that provides AI-enabled features and functionality (“AI Beta Services”). When the AI Beta Services are used by a Client, these AI Beta Terms form a legally binding contract between Client and Pipedrive. Unless set forth herein, defined terms are as set forth in the Terms of Service. In the event of a conflict between these AI Beta Terms and the Terms of Service, these AI Beta Terms shall govern.
At its sole discretion, Pipedrive may modify, delete, supplement or replace any of the AI Beta Terms, fully or partially discontinue, temporarily or permanently, any of the AI Beta Services, with or without notice to you. Pipedrive may also impose limits on certain AI Beta Services or restrict your access to parts or all of the functionality without notice or liability. It is your responsibility to check the AI Beta Terms periodically for changes. Your continued use of the AI Beta Services following the posting of any changes to the AI Beta Terms constitutes acceptance of those changes. Participation in any AI Beta Services is optional.
You are granted a non-exclusive, non-transferable license to use the AI Beta Services solely for the purpose of testing and providing feedback. The AI Beta Services are provided "as is" and Pipedrive makes no warranties regarding its functionality, performance or suitability for any purpose.
You agree to promptly report any issues, bugs, or suggestions related to the AI Beta Services to Pipedrive. Feedback can be submitted through the designated channels provided by Pipedrive. You acknowledge that Pipedrive may use the feedback for further development and improvement of its technology.
You agree that, as between you and us, we retain ownership of all legal rights, title and interest in and to the AI Beta Services, including all intellectual property rights, and except for the license provided herein, no other rights or permissions to any of the AI Beta Services is granted.
You may provide input to be processed by AI Beta Services (“Input”), and receive output generated and returned by the AI Beta Services based on the Input (“Output”). Input and Output are your data or Client Data, as applicable. You will ensure that your Input and use of the AI Beta Services or any Output will not violate any laws applicable to your use of the service. You are solely responsible for the development, content, operation, maintenance and use of your data and Client Data, including any Input or Output.
Artificial intelligence and machine learning models can improve over time to better address specific use cases. We do not permit third parties to use Client Data to improve or train their AI models. We do not use Client Data to improve or train our models without your permission to do so.
You may not use AI Beta Services (i) to develop foundation models or other large scale models that compete with Pipedrive; (ii) to mislead any person that Output from the Services was solely human generated; or (iii) to use our services in a manner outside the scope of Pipedrive Terms of Service or these AI Beta Terms. You acknowledge that due to the nature of machine learning and the technology powering the AI Beta Services, Output may not be unique and our services may generate the same or similar output to Pipedrive or a third party.
You agree to treat all information related to the AI Beta Services as confidential. This includes but is not limited to features, performance and any other details not publicly disclosed.You will not disclose, share, or discuss the AI Beta Services with any third party without explicit written consent from Pipedrive.
YOU HEREBY ACKNOWLEDGE AND AGREE THAT THE AI BETA SERVICES ARE PROVIDED BY PIPEDRIVE ON AN “AS IS” BASIS AND AS AVAILABLE, AND YOUR ACCESS TO, PARTICIPATION AND/OR USE OF THE PIPEDRIVE AI BETA SERVICES, IS AT YOUR SOLE RISK. TO THE EXTENT PERMITTED BY APPLICABLE LAW, PIPEDRIVE EXPRESSLY DISCLAIMS ALL AND YOU RECEIVE NO WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY, SATISFACTORY QUALITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. PIPEDRIVE MAKES NO WARRANTY THAT ANY OF THE SERVICES WILL MEET YOUR REQUIREMENTS AND/OR THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE, NOR DOES PIPEDRIVE MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR THE ACCURACY OF ANY OTHER INFORMATION OBTAINED THROUGH THE SERVICES. YOU UNDERSTAND AND AGREE THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF ANY OF THE SERVICES IS DONE AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM AND/OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PIPEDRIVE OR THROUGH THE AI BETA SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES AND CONDITIONS, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
We provide some elements of the AI Beta Services through third party service providers (“AI Service Providers”). You acknowledge that your Input and Output, including Client Data, will be shared with and processed by our AI Service Providers, such as OpenAI LLC (“OpenAI”), to enable your use of our AI Beta Services, for content moderation, and other business purposes consistent with this Agreement.
You may not use the AI Beta Services in a manner that violates any terms or policy of any AI Service Provider. OpenAI Enterprise's terms and policies can be accessed on the OpenAI Enterprise website.
You agree to indemnify and hold harmless Pipedrive and AI Service Providers from any claims, damages, or liabilities arising out of your failure to comply with these terms, OpenAI Enterprise terms, or any applicable laws, rules or regulations.
You agree to comply with all applicable local, state, national and foreign laws, rules, and regulations, including, but not limited to, all applicable import and export laws and regulations governing use, transmission and/or communication of content, in connection with their performance, participation, access and/or use of the AI Beta Services.
