Our Code of Ethics and Business Conduct defines the principles that guide our decisions, actions and behaviors. “Winning right” isn’t just a slogan – it’s the foundation of our people-first culture. Whenever questions of ethics or integrity arise, this Code serves as your definitive guide. Please review this document carefully. Purpose and destination

The purpose of this document is to establish the expectations from Pipedrivers in terms of behaviour among teams, management and the overall organization of Pipedrive and all its affiliates and subsidiaries (collectively referred to as “Pipedrive” and/or “Company”) in order to protect and respect our employees, customers, partners and community.

This document serves to inform all employees of the policies and procedures of Pipedrive and to establish the Company’s expectations towards employees. The Company reserves the right to unilaterally revise, suspend, revoke, terminate or change any of its policies, in whole or in part whether described within this handbook or elsewhere, in its sole discretion. If any discrepancy between this handbook and current Company policy arises, conform to current company policy.

Great things are achieved by teams and you accept that the team is collectively smarter than you. You know that you’re good but personal glory without team success leaves you dissatisfied. In fact, you actively reject personal recognition in favour of team recognition. You make sure that your teammates have what they need to contribute to team success.

No excuses

When you hit an obstacle, you ask first what you can do to overcome it, instead of blaming others or the situation. You just can’t stand being a victim to circumstances. You come up with options and execute the ones you believe will solve the problem.

How we treat people

Feedback culture is a cornerstone of Pipedrive's company culture. We empower Pipedrivers to share constructive feedback and create meaningful learning opportunities. Pipedrive has several internal systems that allow people to share 360º feedback, promotes face-to-face honest discussions and provides training to help improve communication skills with internal and external customers.

To ensure our workplace is free of artificial barriers, violation of this policy including any improper retaliatory conduct will lead to discipline, up to and including discharge.

Non-harassment

It is Pipedrive's policy to prohibit intentional and unintentional harassment of any individual by another person on the basis of any protected classification including, but not limited to, race, color, national origin, disability, religion, marital status, veteran status, sexual orientation or age. The purpose of this policy is not to regulate our employees' personal morality, but to ensure that in the workplace, no one harasses another individual.

Sexual harassment

It is Pipedrive's policy to prohibit harassment of any employee by any manager, employee, customer or vendor on the basis of sex or gender.

While it is not easy to define precisely what types of conduct could constitute sexual harassment and there is a wide range of behavior that may violate this policy even if such behavior does not violate the law. Examples of prohibited behavior include unwelcome sexual advances, requests for sexual favors, obscene gestures, displaying sexually graphic magazines, calendars or posters, sending sexually explicit e-mails, text messages and other verbal or physical conduct of a sexual nature, such as uninvited touching of a sexual nature or sexually related comments.

Depending upon the circumstances, improper conduct also can include sexual joking, vulgar or offensive conversation or jokes, commenting about an employee's physical appearance, conversation about your own or someone else's sex life, or teasing or other conduct directed toward a person because of their gender which is sufficiently severe or pervasive to create an unprofessional and hostile working environment.

Workplace Conduct

At Pipedrive we want to make sure we maintain a positive work environment. Each employee plays a role in fostering this environment so we all must abide by certain rules of conduct based on honesty, common sense and fair play.

The following are examples of some, but not all, conduct which can be considered unacceptable:

  • Obtaining employment on the basis of illegal, false or misleading information.

  • Stealing or removing Pipedrive property or a co-worker's property, and/or improper disclosure of confidential information.

  • Completing another employee's time records.

  • Violation of safety rules.

  • Fighting, threatening, harassing or disrupting the work of others.

  • Failure to follow lawful instructions of a manager or supervisor.

  • Failure to perform assigned job duties and/or unsatisfactory job performance.

  • Willful or careless destruction or damage to Pipedrive assets or to the equipment or possessions of another employee.

  • Performing work of a personal nature during working time.

  • Violation of any Pipedrive policy.

Not every type of misconduct can be listed, and in the event of unacceptable conduct Pipedrive may subject the offender to disciplinary action, up to and including discharge.

Health and Safety

The health and safety of employees and others on Pipedrive property is critical to us. Pipedrive complies with all health and safety laws applicable to our business and to all regulations within the locations we are based on.

We rely upon employees to ensure that work areas are kept safe and free of hazardous conditions and we expect employees to follow all safety rules and practices, take necessary steps to protect themselves and others, attend required health and safety training and report all accidents, injuries and unsafe practices immediately.

Any perceived or actual risk on Pipedrive's premises, or in a product, facility, piece of equipment, process or business practice for which Pipedrive could be responsible should be brought to the attention of management immediately.

Periodically, Pipedrive will organize specific training and may also issue additional rules and guidelines governing workplace safety and health. Employees are expected to complete the required training and understand and follow the related rules and regulations.

On-the-job injuries are covered by Pipedrive at no cost to the employee. Any workplace injury, accident, or illness must be reported to the employee's manager and to People & Culture as soon as possible, regardless of the severity of the injury or accident.

Failure to follow Pipedrive policies may affect the ability of the employee to receive benefits.

Security in the Workplace

At Pipedrive we believe there is nothing more important than the security of its employees and guests and we are committed to preventing workplace violence and to maintaining a safe work environment.

Pipedrive has adopted the following guidelines to deal with intimidation, harassment, or other threats of (or actual) violence that may occur:

  • All employees, temporary workers, and contractors should be treated with courtesy and respect at all times. Employees are expected to refrain from physical contact, such as fighting or other conduct that may be dangerous or offensive to others.

  • Firearms, weapons, and other dangerous or hazardous devices or substances are strictly prohibited from the premises of the Company.

  • Conduct that threatens, intimidates, or coerces another employee, a customer, partner, or vendor will not be tolerated. This prohibition includes all acts of harassment, including harassment that is based on an individual's sex, race, national origin, protected disability, religion, age, genetic information, or any other characteristics.

  • Any actual or threatened violence, both direct and indirect, should be reported immediately to your manager, People & Culture or through the Whistleblowing/Reporting Channel.

  • Pipedrive will promptly and thoroughly investigate all reports of actual or threatened violence and of suspicious individuals or activities.

  • Anyone determined to be responsible for actual or threatened violence or other conduct that is in violation of these guidelines will be subject to disciplinary action up to and including termination of employment.

  • If at any time an employee feels they are in serious, immediate harm, please contact the local authorities.

Working Under the Influence of Substances

To help ensure a safe, healthy and productive work environment for our employees and others, and to protect Pipedrive property and ensure efficient operations, it is forbidden to work under the influence of alcohol or non-prescription drugs. Pipedrive maintains a workplace free of substance abuse.

This policy applies to all employees and other individuals who perform work for Pipedrive. The abuse, solicitation, theft, possession, transfer, purchase, sale or distribution of controlled substances, including drug paraphernalia or alcohol is strictly prohibited.

Violation of this policy can result in disciplinary action, up to and including discharge.

Pipedrive maintains a policy of non-discrimination and will endeavor to make reasonable accommodations to assist individuals recovering from substance and alcohol dependencies, and those who have a medical history which reflects treatment for substance abuse conditions. However, employees may not request an accommodation to avoid discipline for a policy violation.

We encourage employees to seek assistance before their substance abuse or alcohol misuse renders them unable to perform the essential functions of their jobs, or jeopardizes the health and safety of any Pipedrive employee, including themselves.

Concerns

What to do if you have concerns

If an employee feels that they have been subjected to conduct which violates this policy, the Pipedriver should immediately report the matter to their manager, People & Culture or through the Whistleblowing/Reporting Channel.

If the employee is unable for any reason to contact these people, or if the employee has not received a satisfactory response within five (5) business days after reporting any incident of what the employee perceives to be harassment, the employee should contact the People & Culture Representative.

Every report will be fully investigated and corrective action will be taken where appropriate. All employees must cooperate with all investigations. All complaints will be treated with the utmost confidentiality as far as the law allows. In addition, Pipedrive has a strict non-retaliation policy. It will not allow any form of retaliation against individuals who report unethical or illegal conduct or who cooperate in the investigations of such reports.

If an employee feels they have been subjected to any such retaliation, the employee should report it in the same manner as set forth above.

Violation of policies, including any improper retaliatory conduct, may result in disciplinary action, up to and including discharge.

Pipedrive is committed to providing a workplace conducive to open discussion of its business practices. It is our policy to protect employees who make reports, in good faith, of potential violations of the policies or applicable law, as described herein. In addition, it is our policy to comply with all applicable laws that protect employees against unlawful discrimination or retaliation by their employer as a result of their lawfully reporting information regarding corporate fraud or other violations of law by Pipedrive or its employees.

Any employee who retaliates against another employee for reporting problems will be subject to disciplinary action, which may include termination of employment. If an employee believes that they have been subjected to any action that violates this Non-Retaliation Policy, they should notify their manager or People & Culture. See Whistleblowing/Reporting Channel Policy for more information.

This Non-Retaliation Policy applies even if an allegation that was made in good faith ultimately turns out to be groundless. However, employees who file reports or provide evidence that they know to be false or without a good faith belief in the truth of such information will not be protected by the Non-Retaliation Policy and may be subject to disciplinary action, including termination of their employment.

Business practices

International positioning and laws

Business integrity means that we adhere to all applicable laws and regulations in all our geographies as well as to the ethical standards set forth by Pipedrive. Being an international company subjects us to a myriad of overlapping regulations that require deliberate effort and sustained commitment to excellence. Pipedrive complies with international and local laws and expects its employees, vendors, contractors, suppliers, partners, agents, resellers and any third party with whom it does business to comply, as well.

Data Privacy and Security

Pipedrive commits to compliance with applicable data protection and privacy laws. We conduct necessary audits, implement strong protections and consistently work to improve ourselves. One of our highest priorities is keeping data private, safe and secure through the use of technical, technological, administrative and physical controls. Employees must comply with all policies and procedures surrounding the protection, privacy and security of data.

Trade Compliance

Pipedrive employees commit to compliance with all applicable import and export control laws and regulations including sanctions, embargoes, and anti-boycott rules as set forth in Pipedrive policies and procedures.

Recordkeeping

Pipedrive employees will create and maintain accurate books and records of transactions in compliance with all applicable laws, regulatory requirements and policies. Records will be retained and destroyed in accordance with the respective policy and schedules.

Third Party Relationships

Championing integrity is only meaningful if you do business with people of integrity. To this end, Pipedrive requires that any third parties with whom it does business maintain a solid ethical foundation by complying with our Partner Code of Conduct.

Conflicts of Interest

As a company that values honesty, integrity and equality of opportunities, Pipedrive employees must avoid situations where their personal interests conflict, or appear to conflict, with those of Pipedrive’s.

It is not possible to give an exhaustive list of situations that might involve violations of this policy. However, the situations that would constitute a conflict in most cases include but are not limited to:

  • Holding an interest in or accepting free or discounted goods from any organization that does, or is seeking to do, business with the Pipedrive, by any employee who is in a position to directly or indirectly influence either the Pipedrive's decision to do business, or the terms upon which business would be done with such organization;
  • Holding any interest in an organization that competes with the Pipedrive;
  • Being employed by (including as a consultant) or serving on the board of any organization which does, or is seeking to do, business with the Pipedrive or which competes with the Pipedrive; and/or profiting personally, e.g., through commissions, loans, expense reimbursements or other payments, from any organization seeking to do business with the Pipedrive; and/or
  • A perceived or actual conflict of interest would also exist when a member of an employee's immediate family is involved in situations such as those above.

This policy is not intended to prohibit the provision of modest courtesies, openly given and accepted as part of the usual business amenities, for example, occasional business-related meals or promotional items of nominal or minor value where allowed by law.

It is your responsibility to report any actual or potential conflict that may exist between you (and your immediate family) and Pipedrive to People & Culture or the Legal Department.

Relationships

Pipedrive does not prohibit personal relationships between employees. Employees with a personal relationship with an individual in their reporting line should notify People & Culture.

Employees are expected to maintain professionalism in the workplace regardless of the status of their relationship and should not allow for any interference in the normal performance of their duties or any beneficial treatment.

During work hours, employees are expected to behave in a way that does not distract colleagues from their duties, take away from work hours, or create a hostile work environment.

Anti-bribery, Anti-Corruption and Antitrust

Pipedrive rejects all forms of corrupt business behaviour, such as bribery (public, private, active and passive), embezzlement, fraud, theft and the granting of improper advantages.

Anti-Bribery

Pipedrive employees and its business partners are not allowed to give, promise to give, solicit or accept any form of improper advantage, whether directly or indirectly, to or from any individual or organisation with the intention to obtain or retain business in return. Improper advantages include illegal rebates, bribes, kickbacks and under-the-table payments. An improper advantage can be anything of value, including but not limited to payments, meals, gifts, entertainment, travel expenses or fake agreements.

Anti-Corruption

Holding ourselves to the high ethical standards, Pipedrive maintains appropriate controls to prevent against and detect fraud, money laundering, terrorist financing or tax evasion. Pipedrive employees or any third party with whom Pipedrive engages will not engage in corruption or financial crimes nor attempt to circumvent any controls.

Antitrust

Pipedrive employees cannot collude with competitors to set prices, rig bids, allocate markets, engage in group boycotts, and share or gather confidential competitive information. Employees cannot work with resellers, distributors or partners in a way that restricts or restrains fair competition.

Pipedrive will charge fair prices for its products so as not to manipulate markets, restrict fair competition or discriminate against customers.

Gifts and Entertainment

Pipedrive expects employees to always act with fairness and integrity at all times.

Even when gifts or entertainment are exchanged out of the purest motives of personal or professional friendship, they can be misunderstood and perceived as an improper advantage. A gift or favor should not be accepted or given if it might create a sense of obligation, compromise your professional judgment or create the appearance of doing so.

Giving Gifts and Entertainment

  • Gifts or entertainment may be given only where appropriate and where there is no risk of creating the perception of influencing the recipient in decision making.

  • Gifts must be of minimal value and entertainment must not go beyond what is reasonable. Lavish or inappropriate gifts or entertainment are strictly prohibited.

Accepting Gifts and Entertainment

  • Demanding or soliciting gifts or entertainment of any kind is prohibited. This includes not only items but advantages that carry value.

  • Unsolicited gifts or entertainment may only be accepted if they do not go beyond common courtesy and are an accepted local business practice.

  • Offers of entertainment may only be accepted if they arise out of the normal course of business, cannot be seen as lavish and take place in settings that are appropriate.

  • Employees cannot give any gifts to government employees.

Slavery/Human Trafficking

Pipedrive is committed to responsible business practices protecting human rights. We have a zero tolerance approach to all forms of slavery and human trafficking ("modern slavery") in our organization and in the organizations with whom we work. We are focused on identifying, reporting and addressing any human rights risks or abuses in our operations.

Child/Exploited Labor

Pipedrive is committed to conducting business in a legal, ethical manner by adding value to society and the environment instead of doing harm. Helping stop child labor or forced labor by exploited individuals is fundamental to our company. We want to make sure that our organization doesn’t take part in children’s exploitation and also helps end it to the best of our ability.

Conflict Minerals

Pipedrive does not manufacture its own products. However, Pipedrive supports the humanitarian goal of ending the human rights violations in those areas which are believed to have been partially financed by the exploitation and trade of conflict minerals. We are committed to working with our suppliers to increase transparency regarding the origin of minerals contained in its products to prevent such exploitation.

Pipedrive expects all employees to respect and comply with policies addressing these horrible practices. Additionally, all third parties with whom Pipedrive works are expected to maintain the same ethical foundation.

Through partnerships with non-governmental organizations (NGOs), the private sector, community organizations, and state governments we believe that we can make a lasting and meaningful difference. For Pipedrive, this is an opportunity to contribute to society and strengthen our business at the same time. We always seek to collaborate with strong and established partners and choose to support projects with large-scale goals. Pipedrive always looks at different ways how we can impact and support through investing the time of our employees (e.g. mentoring, teaching) and providing financial support to initiatives that fit our scope.
