Smart Docs Feature

Supplemental Terms

The terms set forth herein (“Supplemental Terms”) are subject to the Pipedrive Terms of Service set forth at https://www.pipedrive.com/en/terms-of-service and govern the use by Client of the Feature set forth below. When the Feature is used by a Client, these Supplemental Terms form a legally binding contract between Client and Pipedrive. Unless set forth herein, defined terms are as set forth in the Terms of Service. In the event of a conflict between these Supplemental Terms and the Terms of Service, these Supplemental Terms shall govern.

FEATURE: Smart Docs

1. OVERVIEW

The Smart Docs Feature allows Clients to centralize the entire documentation process and streamline and automate how sales teams create, send, manage and sign quotes, proposals and contracts via the eSignature functionality.

2. DEFINITIONS

“eSignature Request” an electronic document signature request sent by a User via the Pipedrive Services whether fully executed or not.

“User Management” means a group of settings that controls User access to different features and permissions within the Feature. If a User has authorization to access User Management then he/she can control other User’s access to the Feature and Client Data access.

3. ACCESSING THE FEATURE

By default, all Users of an Account who have an active Free Trial or Plan to the Smart Docs Feature can use it. Client will have the ability to amend Users access via User Management.

4. PLAN

Unless otherwise provided as part of a Platform Plan, the Smart Docs Feature can be purchased as an additional Feature on top of any Platform Plan for a Fee. At any stage, authorized Users of an Account may activate a 14-day Free Trial. Valid billing details are required to be entered into the billing section of Client’s Account in order to activate the eSignature functionality during the Free Trial and up to 5 eSignature Requests may be used for free, per Account.

5. FEES

After the 14-day Free Trial, the Client shall be required to start a Feature Plan for additional use of the Feature. You will automatically be charged for a subscription to a Feature Plan based on the initial Feature Plan which was selected for the Free Trial, unless canceled at the end of the Free Trial. Subscriptions are either monthly or annual, depending on your Pipedrive Platform Plan, and will be prorated for the remainder of any current Plan Term.

Where the Feature is provided as part of a Platform Plan and the Client elects to downgrade at any stage to a Plan where it is not included, the Client will lose access to the Feature. Clients may resubscribe to the Feature as outlined above.

6. CANCELING THE FEATURE

Client may cancel their subscription to the Smart Docs Feature at any time, which may result in immediate loss of access to the Feature without any refund of any prepaid Fees.

7. ESIGNATURE REQUESTS

Where the Feature is provided as part of a Platform Plan, Users have access to an unlimited number of eSignature Requests, subject to the reasonable usage policy outlined below.

For all other Clients the number of eSignature Requests allocated to an Account on a monthly basis will depend on the corresponding Feature Plan to which they are subscribed. All allocated eSignature Requests must be used within any given calendar month. Any unused eSignatures Requests remaining at the end of a given month will automatically expire on the last day of the month and cannot be rolled over into the subsequent month.

eSignature Requests shall expire if not completed within 60 days and a User may cancel an eSignature Request at any stage prior to signing. In the event that a User cancels an eSignature Request, or it expires, this will be counted towards their corresponding monthly Feature Plan allowance.

In the event that a Client reaches their Plan limit of eSignatures Requests in a given month, the Client must wait until the following month when the quantity of eSignature requests resets, or upgrade to the higher Feature Plan in order to send more eSignatures Requests.

8. REASONABLE USAGE

Pipedrive will closely monitor the usage of the Feature. If Pipedrive determines, in its sole discretion, that the Feature is being used for reselling or misused in any manner, Pipedrive reserves the right to suspend or terminate Clients use of the Smart Docs Feature immediately without any refund of prepaid Fees.

9. DOCUMENT STORAGE

A User must have access to a deal in an Account in order to see the documents associated with it. Authorized Users have access to all deals and documents associated with their Account. Only PDF versions of documents are stored in the Pipedrive Services.

Pipedrive may delete an Account and Client Data, including without limitation, documents created via the Smart Docs Feature (whether complete or not), upon the expiration or termination of a Feature Plan, or Account. Signed documents processed through the Feature are retained in line with Pipedrive’s data retention policy as follows:

Incomplete, or canceled documents are deleted either

(a) 3 months after the eSignature Request is canceled by a User, or

(b) 3 months after a deal, or document gets deleted by a User.

10. DISCLAIMERS

Nothing in these Supplemental Terms may be construed to make Pipedrive a party to any electronic document processed through the Feature and Pipedrive makes no representation or warranty regarding the transactions sought to be affected by any electronic document.

Client acknowledges that it has exclusive control over and responsibility for the content, quality, and format of any electronic document. Without limiting the foregoing, all electronic documents, together with any messages included within a eSignature Request sent and stored via the Pipedrives Services are encrypted and secure, and Pipedrive has no control of, or access to their contents.

Certain types of agreements and documents may not be subject to electronic signature laws (e.g. wills and agreements pertaining to family law), or may be subject to specific regulations by various government agencies regarding electronic signatures and electronic records. Pipedrive is not responsible or liable to determine whether any particular document (i) is subject to an exception to applicable electronic signature laws, (ii) is subject to any particular agency specific regulations, or (iii) can be legally formed by, or enforced with electronic signatures. Further, Pipedrive is not responsible for determining how long any contracts, documents, and other records are required to be retained or stored under any applicable laws, regulations, or legal or administrative agency processes. Further, Pipedrive is not responsible for, or liable to produce any of Client’s electronic documents or other documents to any third parties.

In certain jurisdictions, consumer protection or similar laws or regulations may impose special requirements with respect to electronic transactions involving one or more “consumers,” such as (among others) requirements that the consumer consent to the method of contracting and/or that the consumer be provided with a copy, or access to a copy, of a paper or other non-electronic, written record of the transaction. Pipedrive does not and is not responsible to: (i) determine whether any particular transaction involves a “consumer;” (ii) furnish or obtain any such consents or determine if any such consents have been withdrawn; (iii) provide any information or disclosures in connection with any attempt to obtain any such consents; (iv) provide legal review of, or update or correct any information or disclosures currently or previously given; (v) provide any such copies or access, except as expressly provided in the documentation for all transactions, consumer or otherwise; or (vi) comply with any such special requirements. Client undertakes to determine whether any “consumer” is involved in any electronic document presented by any of its Users with an authorization for processing, and, if so, to comply with all requirements imposed by law on such electronic documents or their formation.

Client agrees it is solely responsible for the accuracy and appropriateness of instructions given by it and its Users to Pipedrive in relation to the Smart Docs Feature, including without limitation instructions through its Account.
